Foundation trustees elect new officers at February board meeting

The CGSC Foundation elected new officers over the past six months as part of a sweeping effort to update the by-laws which we believe will continue to promote positive change. The Foundation is proud to announce our new officer slate that was elected during the last quarterly board meeting.

The by-laws had last been amended in 2010 so they needed to be updated in a number of areas. The Governance Committee under Chair Mike Hockley worked on the amendment process for almost a year. Each section of the existing by-laws was given a line-by-line review to update, modify to fit existing conditions, or modify to incorporate best practices. While some sections saw minor changes, the major changes in the by-laws were: 1) change to the mission scope to recognize the changes within CAC and the college; 2) modification to board membership to reflect a smaller board and updated rules of membership; 3) modification of officer positions and terms of service; and 4) modification of committee structure and charters. The modifications were approved by a unanimous vote of the board at the quarterly meeting held on November 7, 2017.

Implementing the changes to foundation leadership actually began at the annual board meeting August 29 when Lt. Gen. (Ret.) John Miller ended his term of service as the second Foundation Chair and was elected as Chair Emeritus. Mr. Mike Hockley was elected as the Foundation’s Third Chair. The next step was the approval of the by-laws at the November quarterly meeting after all trustees had provided input to the amendments. The final step in the leadership change took place at the quarterly board meeting on February 6, 2018 with the election of new officers to support Chair Hockley. As part of the whole process, the effective date of the election was backdated to August 2017 for purpose of terms of service so that all officers will be up for election or re-election at the annual meeting in August 2019. This gives the Foundation a predictable officer election schedule allowing for orderly transition of office.

At the February board meeting, the Governance Committee recommended a slate of officers for election based on member input and personal desires. The positions elected were for 1st Vice Chair, a new position to support the Chair in the execution of duties and fulfill the duties of the Chair when needed; Vice Chair for Military Affairs, another new position which requires a trustee with a distinguished military record to assist the Foundation with liaison and coordination with the military leadership at CAC and CGSC; the Secretary; the Treasurer; and the Legal Advisor. The position of Presi

dent and CEO is considered a nonvoting officer and is selected by the board on an as-needed basis, so this position was not affected by the election.

The Foundation is pleased to announce the 2017 to 2019 officers:

The Third Foundation Chair: Mr. Michael Hockley, attorney and partner at Spencer Fane, LLP. A West Point graduate, Hockley has long service to the Foundation and served as President of the Board prior to election as Chair.

1st Vice Chair: Mr. John H. Robinson, chairman of Hamilton Ventures, LLC in Kansas City.

Vice Chair for Military Affairs: LTG (Ret) Richard Keller, who also serves as a board member for Park University and the 27 Committee.

President and CEO (nonvoting member): Col. (Ret.) Douglas L. Tystad, who has served as CEO since 2013.

Secretary: Ms. Katie Ervin, Midwest Regional Director of Military Affairs, Webster University.

Treasurer: Mr. Douglass J. “Doug” Adair, Vice President of Exchange National Bank.

Legal Advisor: Lt. Col. (Ret.) Thomas Mason, lawyer and partner of Thompson Hine, LLP, Washington, D.C.
